We understand the specifics

What we know about liquidation in 2026

Closing a company isn't a single application but a sequence of steps under the Civil, Tax and Labour Codes. From 1 January 2026 a new Tax Code is in force, and some rules have changed. We run liquidations under the current norms and know where the procedure usually gets stuck.

01

New Tax Code — 2026

From 1 January 2026, ceasing activity is governed by the new Tax Code of Kazakhstan: the procedure, forms and conditions have been updated. Instructions from previous years are already out of date — we run closures under the current rules.

02

Two routes for an LLP

Classic liquidation with a tax audit — or the accelerated route, via desk control without an on-site audit, if the company is not a VAT payer and meets the other Tax Code criteria. We choose the optimal route.

03

The audit looks deep

The liquidation audit covers the entire uncovered period within the statute of limitations. We put the records and primary documents in order before filing — so the audit doesn't turn into assessments.

04

Creditors: at least 2 months

Under Article 50 of the Civil Code, a liquidation notice is published and creditors are given at least two months to file claims. We correctly notify the authorities and employees (Article 52 of the Labour Code) so the timelines don't slip.

05

Debts block closure

With debts on taxes, pension contributions, social deductions and medical insurance you can't complete the liquidation, and audit assessments must be paid within 10 calendar days. We reconcile with the budget at the start — no surprises at the end.

06

A sole proprietorship closes in days

A simplified procedure applies to sole proprietors: without an audit or desk control — provided there's no VAT, no debts and no outstanding notices. We'll check the conditions and close it fast; the application is filed online.

Risk zones

What the owner risks — and how we close it off

Half the liquidations people bring us are do-it-yourself attempts that got stuck halfway. Here are the typical scenarios.

Mistake

The company was simply abandoned

Reports aren't filed — fines and penalty interest pile up, accounts get frozen. The problems catch up with the director and founder later, up to restrictions when registering a new business.

How we do it

Official removal from the register

We carry out the full procedure through to the removal certificate — obligations end lawfully and the owner's record stays clean.

Mistake

Liquidation reporting with errors

The reporting diverges from the records and primary documents — the audit finds discrepancies, assesses taxes and fines, and the closure timeline stretches by months.

How we do it

We prepare the records before filing

First we reconcile the records, primary documents and budget settlements, recover them if needed — and only then file. We go into the audit with explanations ready.

Mistake

Took the long route

The company qualified for accelerated liquidation via desk control but went through the general procedure — an unnecessary on-site audit and months of waiting.

How we do it

We pick the optimal path

At the diagnostic we check the criteria for the accelerated procedures for LLPs and the simplified order for sole proprietors — and run the shortest lawful route.

How it works

Liquidation stages

We run the whole procedure — from the founders' decision to the certificate of removal from the register. From you — a power of attorney and documents; the rest we do ourselves.

  1. 1

    Diagnostics and plan

We assess the state of the records, debts and criteria for the accelerated procedure for free. We fix the route, timeline and price in the contract.

  2. 2

    Decisions and notices

We prepare the liquidation decision, appoint the commission, notify the justice authorities, tax office and employees, and publish the notice for creditors.

  3. 3

    Reporting and audit

We file the liquidation reporting and interim balance sheet, support the tax audit or desk control, and prepare explanations.

  4. 4

    Closure and certificate

We finalise settlements, close accounts and deregister cash registers, file the final balance sheet — and obtain the certificate of removal from the register.

FAQ

With the accelerated procedure via desk control — usually 3–4 months: the minimum term is set by the two-month period for accepting creditor claims under Article 50 of the Civil Code. With classic liquidation involving a tax audit — from 6 months and longer, depending on the state of the records and the workload of the state revenue authorities. We name the exact timeline after the diagnostic.

Yes. If the company meets the conditions of the Tax Code — in particular, it is not VAT-registered, has not undergone reorganisation and is not included in the tax audit schedule — desk control based on documents is carried out instead of an on-site audit. We assess whether your company meets these criteria and prepare the documents for the accelerated route.

No. Debts on taxes, mandatory pension contributions, social deductions and medical insurance block the completion of liquidation, and assessments after the audit must be paid within 10 calendar days. That's why we reconcile settlements with the budget at the very start and help close all obligations before filing.

A simplified procedure applies to sole proprietors: without a tax audit or desk control, provided the entrepreneur is not VAT-registered, has no debts and no outstanding tax notices. The application is filed online and closure takes a matter of days. We check the conditions and go through the procedure for you.

The obligation to file reports and pay taxes remains: fines for non-filing and penalty interest accumulate, accounts get frozen, and the problems catch up with the director and founder — up to restrictions when registering a new business. Official liquidation almost always costs less than the accumulated penalties.

Yes. First we recover the records and file the missed reports, then we carry out the liquidation. This order is mandatory: the audit at closing covers past periods, and going into it with neglected records means assessments and fines.

From 1 January 2026 a new Tax Code of Kazakhstan is in force: the procedure and conditions for ceasing activity have been updated, including the criteria for accelerated liquidation via desk control. We run procedures under the current norms and track changes in the law — you won't have to figure it out yourself.
